Terms of Use.
These Terms of Use (“Terms”) form a binding agreement between you and Webperties LLC, a Florida limited liability company (“Webperties,” “we,” “us,” or “our”), and govern your access to and use of webperties.com, including any content, features, forms, and client areas offered on or through it (together, the “Site”).
Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site. Section 15 contains a waiver of jury trial.
1. Eligibility
The Site is intended for businesses and for individuals who are at least 18 years old. If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.
2. Our Services and the Site
The Site describes Webperties, the digital properties we own and operate, and the services we offer, including category domain partnerships and franchise recruitment marketing. Content on the Site is provided for general information only.
- Separate agreements govern services. Any services we provide are governed solely by a separate written agreement signed by Webperties and the client. If that agreement conflicts with these Terms, the agreement controls.
- No offer or reservation. Descriptions of services, domain names, availability, and exclusivity on the Site are not offers and may change without notice. Submitting an inquiry does not reserve a domain name, create exclusivity, or form a client relationship. Exclusive use of any domain name or category arises only under, and to the extent stated in, a signed agreement.
- No franchise offer. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, a franchise or business opportunity. References to franchise brands, categories, or opportunities are for informational purposes only.
- No professional advice. Nothing on the Site is legal, financial, tax, investment, or franchise advice. You should consult your own advisors before making business decisions.
3. License to Use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Site for your internal business purposes and personal reference. All rights not expressly granted are reserved by Webperties and its licensors.
4. Prohibited Conduct
You agree not to, and not to help or allow anyone else to:
- Use the Site in violation of any applicable law or regulation, or for any fraudulent or unlawful purpose;
- Copy, scrape, crawl, harvest, or compile content or data from the Site, including our lists of domain names, using bots, spiders, or other automated means, except for search engines indexing the Site for public search results;
- Use Site content to train, fine-tune, or evaluate artificial intelligence or machine learning models without our prior written consent;
- Probe, scan, or test the vulnerability of the Site or any related system, or breach or circumvent any security or authentication measure;
- Access, or attempt to access, any client area, account, or data you are not authorized to access;
- Interfere with or disrupt the Site, including by introducing viruses, malware, or other harmful code, or by placing an unreasonable load on our infrastructure;
- Reverse engineer, decompile, or disassemble any part of the Site, except to the extent the law expressly permits it;
- Frame, mirror, or otherwise reproduce the Site, or link to it in a way that suggests an endorsement or affiliation that does not exist;
- Impersonate any person or organization, misrepresent your affiliation with anyone, or submit information about another person without their authorization; or
- Use the Site to send spam or other unsolicited communications.
5. Information You Submit
You agree that information you submit through the Site is accurate, current, and complete, and that you have the right to submit it. You authorize us to contact you about your inquiry using the details you provide, as described in our Privacy Policy.
Please do not send us confidential or proprietary information through the Site unless we have agreed in writing to keep it confidential. If you send us ideas, suggestions, or other feedback, you grant Webperties a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.
6. Client Login
Access to the Client Login is limited to authorized users of our clients. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@webperties.com if you suspect unauthorized use. We may suspend or disable access at any time to protect the Site, our clients, or our data. Use of client areas may also be subject to your organization’s agreement with us.
7. Intellectual Property
The Site and its content, including text, graphics, designs, layouts, photographs, software, code, and the selection and arrangement of these, are owned by Webperties or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.
“Webperties,” the Webperties logo, “Empowering Visibility,” and the names and logos of our brands and properties are trademarks of Webperties LLC. You may not use them without our prior written permission. Our domain names are owned or controlled by Webperties or its affiliates, and nothing on the Site grants you any right in them.
Other names, logos, and trademarks shown on the Site belong to their respective owners. Their appearance identifies brands we have worked with or that participate in our programs, and does not imply that those owners endorse or sponsor Webperties, or that a relationship is current, unless we say so.
8. Copyright Complaints
We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. If you believe content on the Site infringes your copyright, send a written notice to support@webperties.com with the subject line “Copyright Notice” that includes:
- Your physical or electronic signature;
- Identification of the copyrighted work you claim is infringed;
- Identification of the material you claim is infringing and its location on the Site;
- Your name, address, telephone number, and email address;
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.
We may remove or disable access to material that is the subject of a valid notice, and we will terminate access for repeat infringers in appropriate circumstances.
9. Third-Party Links and Services
The Site may contain links to, or features provided by, third-party websites and services, including other properties in our portfolio that carry their own terms. We do not control and are not responsible for third-party content, products, services, or practices, and a link does not imply our endorsement. Your use of third-party sites and services is at your own risk and subject to their terms.
10. Privacy
Our Privacy Policy explains how we collect, use, and disclose information about you, including through cookies, analytics, and advertising technologies. By using the Site, you acknowledge that we will process your information as described there.
11. Disclaimers
The Site and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Webperties disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.
Statements on the Site about the benefits of category domains, digital properties, or our services describe general characteristics and are not guarantees. We do not guarantee any particular search ranking, traffic, lead volume, franchise sales, return on investment, or other result.
12. Limitation of Liability
To the fullest extent permitted by law, in no event will Webperties or its members, managers, officers, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or relating to the Site or these Terms, whether based on contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total liability of Webperties and the persons listed above for all claims arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. These limitations do not limit liability that cannot be limited under applicable law, and they do not affect the terms of any separate written agreement for services.
13. Indemnification
You agree to defend, indemnify, and hold harmless Webperties and its members, managers, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense.
14. Suspension and Termination
We may suspend or terminate your access to all or part of the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. We may also modify or discontinue the Site or any part of it at any time. Sections 5, 7, 11, 12, 13, 15, and 17 survive any termination.
15. Governing Law and Disputes
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. You agree that the state and federal courts located in the State of Florida have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
To the fullest extent permitted by law, you and Webperties each waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Site.
Any claim arising out of or relating to these Terms or the Site must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and the updated Terms take effect when posted. If we make material changes, we will provide reasonable notice on the Site. Your continued use of the Site after the changes take effect means you accept the updated Terms.
17. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Webperties about the Site and supersede any prior understandings about it. They do not replace any separate written agreement for services.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them without restriction, including in connection with a merger, acquisition, or sale of assets.
- Electronic communications. You consent to receive communications from us electronically and agree that electronic notices satisfy any requirement that they be in writing.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- Location. The Site is operated from the United States. We make no representation that it is appropriate or available for use elsewhere, and you are responsible for complying with your local laws.
- Interpretation. Headings are for convenience only. “Including” means “including without limitation.” No third party has any rights under these Terms.
